Order acceptance
1.All orders are subject to acceptance by EIS.
2.An order will only be deemed accepted by EIS if it gives confirmation to such effect to Customer.
3.EIS may in its absolute discretion refuse to accept any order, or provide that acceptance be subject to such conditions as EIS may impose.
Payment for services
EIS shall issue an invoice in accordance with the agreed quotation supplied prior to commencement of the work or supply of the service, or alternatively its standard tariff of charges from time to time in US Dollar, unless other arrangements with Customer are made in writing.
Payments are due at the time of placing your order online. Regular Clients offline orders are due within 15 days of the date of invoice or as agreed by EIS.
In the event that any amount remains unpaid after the period of time specified on the invoice, EIS reserves the right (in addition to its right to claim for payment) to discontinue, withhold or suspend products or services to Customer and/or its customers to whom such unpaid amounts relate.
The Customer shall be responsible for paying value added tax due on EIS’ products and services at the applicable rate at the date of supply.
Refunds
No refund shall be applicable once the process of any material has commenced, unless EIS does not complete the contract or EIS uses its discretion to refund if the Customer gives notice that they do not wish to continue with the service.
Transferal of Rights and obligations
Customer rights and obligations under this Customer Agreement may not be enjoyed by a third party or transferred or assigned directly or indirectly without the prior written consent of EIS.
If Customer sells any of EIS’s products or services to a third party it shall do so on terms which are not inconsistent with this Customer Agreement; and such Customer shall maintain adequate insurance as would normally be covered by a person carrying on in the same type of business as the Customer.
Copyright Complaints:
Expert Info Services LLC. respects the intellectual property of others, and we request our users to do the same. If you believe that any of your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify EIS. of your breach of claim in accordance with the procedure set forth below.
EIS will process and investigate notices of suspected breach and will take appropriate actions under applicable intellectual property laws with respect to any alleged or actual breach/violations. TService Rules
You agree not to engage in any of the following prohibited activities in connection with the EIS Services:
copying, distributing, or disclosing any part of the EIS Services in any medium
(ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the EIS Services in a manner that sends more request messages to EIS Services servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser;
(iii) transmitting spam, chain letters, or other unsolicited email;
(iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running EQ Transcription Services;
(v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure;
(vi) uploading invalid data, viruses, worms, or other software agents through EIS Services;
(vii) collecting or harvesting any personally identifiable information, including account names, from EIS Services;
(viii) using EIS Services for any commercial purposes;
(ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity;
(x) interfering with the proper working of the EIS Services;
(xi) accessing any content on the EIS Services through any technology or means other than those provided or authorized by EIS
(xii) decompiling, reverse engineering, or otherwise attempting to obtain the source code of EIS. You may not access or use EIS Services if you work with or for a competitor, except with EIS prior written consent. In addition, you may not use or access EIS Services for purposes of monitoring the performance or functionality for a competitor or for any third party, or for any other benchmarking or competitive purposes and you may not share any benchmarking data regarding the EIS Services usage with any third party without EIS Services’ prior written consent. We may, without prior notice, change EIS Services, stop providing the EIS Services or features of the EIS (to you or generally), or create usage limits EIS Services. You agree that EIS has no responsibility or liability for the deletion or failure to store any documents, data or other content maintained or uploaded by you to EIS. We may permanently or temporarily terminate or suspend your access to EIS Services without notice or liability to EIS, for any reason or for no reason, including if in our sole determination you violate any provision of this Agreement. Upon termination of this Agreement or your access EIS Services for any reason or no reason, you will continue to be bound by the terms of this Agreement which, by their nature, should survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
User Content
You are solely responsible for all audios, videos and other data (“User Content”) that you upload, post, publish or display (hereinafter, “upload”) or email or otherwise use via the Services.
(i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person;
(ii) may create a risk of any other loss or damage to any person or property;
(iii) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise;
(iv) may constitute or contribute to a crime or tort;
(v) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, obscene, pornographic, or otherwise objectionable;
(vi) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets);
(vii) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or
(viii) contains any information or content that you know is not correct and current. You agree that any User Content that you upload does not and will not violate third-party rights of any kind, including without limitation any Intellectual Property Rights.
EIS takes no responsibility and assumes no liability for any User Content that you or any other User or third-party posts or sends over the EIS Services. You acknowledge and agree that EIS may preserve your User Content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:
(a) comply with legal process, applicable laws or government requests;
(b) enforce this Agreement;
(c) respond to claims that any content violates the rights of third parties; or
(d) protect the rights, property, or personal safety of EIS Services, its users and the public.
Accuracy of Transcripts
EIS takes great care to provide accurate and complete transcripts; however, we do not accept liability arising from inaccuracies which may howsoever occur. This includes but is not limited to:
a typing error or errors inaccuracies due to inaudibility either because of poor or quiet diction, strong accents or poor quality, distorted recordings and background noise accidental misrepresentations of facts with regard to contractual discussions illegibility of hard copy materials.
Confidentiality
EIS understand to keep the customers confidential information strictly confidential. Your contact details or any other information you provide to EIS Services will not under any circumstances be sold, rented, loaned or otherwise disclosed to any third party without your written consent. No information or resource of yours will ever be used for any personal or commercial gain on the part of EIS and you will be advised immediately if any conflict of interest arises. We will happily sign a non-disclosure or confidentiality agreement should you require it.
Risk Management
A thorough analysis of all EIS Services information networks and systems will be conducted on a periodic basis to document the threats and vulnerabilities to stored and transmitted information. The analysis will examine the types of threats – internal or external, natural or manmade, electronic and non-electronic– that affect the ability to manage the information resource. The analysis will also document the existing vulnerabilities within each entity which potentially expose the information resource to the threats. Finally, the analysis will also include an evaluation of the information assets and the technology associated with its collection, storage, dissemination and protection. From the combination of threats, vulnerabilities, and asset values, an estimate of the risks to the confidentiality, integrity and availability of the information will be determined. The frequency of the risk analysis will be determined at the entity level. Based on the periodic assessment, measures will be implemented that reduce the impact of the threats by reducing the amount and scope of the vulnerabilities.
Security
EIS cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. Changes and Amendments
This agreement may be changed, modified or amended from time to time and we reserve the right to do so. For this reason, it is recommended that you visit EIS Privacy Policy and Terms pages on a regular basis.
